Chair of the Board (Voluntary)

Location: Hybrid – Remote, Salisbury Wiltshire and other locations as required.

Time commitment: It is estimated that 1-2 days a month are required for this role, with a minimum of four meetings per year, including one 2-day away session with the board.

Period of appointment: The appointment will initially be for 3 years, with the option of renewing at the end of this period for a further 3 years and up to a maximum of 9 years in total when all Trustees must retire from their appointment.

REACT Disaster Response is seeking a dynamic Chair of the Board to guide our mission to alleviate suffering and save lives in the event of disasters in the UK and internationally. It is expected that the new Chair would take up their role in the Spring/Summer of 2025.

This voluntary role offers a unique opportunity to shape the future of REACT, working alongside a committed team of Trustees, staff and volunteers to drive strategy, governance, and growth. We’re looking for a visionary leader with board-level experience, a strong understanding of governance, and the ability to champion our cause at the highest levels.

About the Role:
The Chair will hold the Board and Executive Team to account for the delivery of the Charity's mission and vision, providing inclusive leadership to the Board of Trustees; ensuring that each trustee fulfils their duties and responsibilities for the effective governance of the charity. The Chair also has line management responsibility for the CEO.

The Chair of the Board provides senior leadership oversight to REACT, he/she chairs the Board of Trustees and is expected to bring an external, independent perspective to the Board, assist with strategy, help develop the business and ensure that appropriate risk management arrangements are in place. The Chair is expected to challenge, support and advise the executive directors, in line with REACT values, and help them to reach balanced judgements. The Chair oversees and ensures that the Board fulfils its duty to affected people and communities, and delivers on its vision, mission and values. The board of Trustees are both jointly and individually responsible for the overall governance and strategic direction of the charity, its financial health, the probity of its activities and developing the organisation’s aims, objectives and goals in accordance with the governing document, legal and regulatory guidelines.

Responsibilities:

The Chair focuses on REACT’s strategic direction, ensuring a clear, sound plan to ensure the sustainability and viability of the charity supported by effective risk management strategies and able to hold the Directors to account through regular monitoring and reporting.

  • Ensure that the trustee body functions effectively, meetings are led inclusively, and the board carries out its duties.
  • Lead the board in governing itself well, setting the strategic direction of the charity, creating a positive culture within the charity and holding the CEO, SLT and staff properly accountable.
  • Monitoring the agreed actions from board meetings to ensure that decisions are implemented properly and in a timely manner.
  • Ensure that the trustee board annually reviews its structure, effectiveness, delegations and key policies, and implements agreed changes as necessary.
  • Build a strong, positive and respectful relationship with the CEO and engage staff, beneficiaries and other stakeholders.
  • Act as an ambassador for the charity, representing its interests and values to external stakeholders.
  • Chair 4 board meetings a year and attend subcommittee meetings where appropriate
  • Responsible for signing off audited accounts and annual reports
  • Reporting to the Board of Trustees
  • Line management, development and mentoring of the CEO
  • Ensure that the relevant sub committees are in place and operating effectively, reporting into the main board to ensure effective oversight.
  • Ensure that board decisions are implemented and that the board take collective ownership of them.
  • Ensures that the charity and board comply with its governance responsibilities including those set out by the Charity Commission.
  • Ensure that the Charity has systems in place to mitigate the major risks.
  • Acts as an ambassador and a spokesperson for the charity when appropriate.
  • Works with the CEO to engage with all stakeholders to raise the profile of the charity and drive fundraising efforts.
  • Support the senior leadership team to develop new business in line with the strategy, providing access to contacts or networks where appropriate.

About you:
Our Chair will have a track record of leadership in either business, government, or the charity sector; with previous experience of board governance.

While it is not essential that the Chair has a military background, it would be beneficial for them to display qualities normally associated with a military mindset which has served REACT well to date. For example, a willingness to make decisions speedily albeit with imperfect information and the confidence to take calculated risks. Such qualities would make the Chair able to communicate with and inspire our volunteer Responders; many of whom come from a service background within the military or blue light community.

  • Demonstrate a strong commitment to REACT, its values, its strategic objectives and mission.
  • Clear and enthusiastic communicator with gravitas and external profile able to be a public advocate and great ambassador for the organisation.
  • Strong networking capabilities that can be utilised for the benefit of REACT.
  • Experience of running or setting up a business and the entrepreneurial skills needed to scale the charity to the next level.
  • Ability to engage constructively with senior management, able to motivate and challenge on difficult issues.
  • Preferably have some working knowledge of the International humanitarian sector or national charity sector.
  • Understanding of charity finance and the ability to monitor and interpret financial data with an understanding of risk management.
  • Track record of stakeholder engagement and building networks and connections.
  • Experience in leading strategic planning and organisational change.
  • A commitment to diversity and inclusion as a core principle.

Salary: This role is not remunerated. Reasonable travel and subsistence expenses are paid in line with the organisation’s Expenses Policy.
